MEC Profil AB, is a part of MEC-Gruppen Holding AB, which was established in 1985. The company is a wholesaler in the industry of Product Media and Promotion.
MEC Profil AB, is a Swedish based company with headquarters in Halmstad, Sweden, and has its own offices or via representatives in a number of countries in Europe.
The following terms shall apply with priority over all other terms, unless otherwise specifically agreed in writing between the parties. Buyer’s orders are expressly conditional upon Buyer agreeing to all terms of sale incorporated herein by reference. Additional conditions stated by the seller on the order recognition shall apply in addition to these conditions.
DELIVERY TERMS
Ex. Works, in accordance with INCOTERMS 2000. Complaints made by the buyer as a result of delays in delivery attributable to shipping or transport companies must be made directly to the contracting party concerned.
Prices are exclusive of VAT and / or costs for design or layout work where applicable. An expedition fee of SEK 75 will be charged for orders with a value of less than SEK 500.
Quantities of goods supplied will be accurate to within +/- 10%. Any advertising tax is levied by the buyer.
If delivery is desired to more than one recipient, SEK 75 will be charged per shipment + shipping cost.
If the recipient is not reached by the transport company in connection with delivery, and this leads to the goods being sent back to our warehouse, the return cost accrues to the customer.
If delivery to a private address is desired, this can be offered against a special charge.
Products that are included in group delivery shipping do so for 1-4 weight-based packages.
We reserve the right to interruptions, obstacles and delays in operations and deliveries that are the result of e.g., natural disasters, terrorism, software viruses, disease, pandemics, infectious diseases, supplier- based causes, backlogs, customs clearance, transport delays and other matters beyond our control.
ORDER CONFIRMATION
The seller always confirms with a written order confirmation that is sent digitally via email, or from the web shop. It is the buyer’s responsibility to check the order confirmation within 1 day. The seller reserves the right to make typing errors or other force majeure.
EXPRESS ORDER
If extra fast delivery and delivery monitoring is desired outside the regular routines as well as delivery with another mode of transport, this extra cost will be charged according to a separate price list for express orders or agreements.
TRANSPORT METHOD
Goods will mainly be delivered via DHL / Post Nord / Bring / UPS, and its partners / agents, if the customer has not stated in writing another mode of transport and enclosed completed transport documents.
Agreements can be made on another mode of transport.
The seller is not responsible for transport damage incurred during transport. If otherwise requested, this is notified separately by the buyer.
PAYMENT TERMS
Cash on delivery unless otherwise agreed. If there are overdue invoices for payment, delivery takes place on COD until the debt is settled.
Sold goods remain the seller’s property until full payment has been received.
Interest on arrears is charged at 12% in the event of late payment.
MEC Profil AB reserves the right to make a credit assessment of each individual order.
CANCELLATION OF ORDERS
If the buyer wants to cancel a confirmed order after the order is placed for production, a cancellation must be obtained and approved by the manufacturing party.
In the case of stock products where stockholding takes place at an external warehouse, cancellation is not approved, unless the Buyer accepts charges of the shipping back to the warehouse, as well as any cost for re-entry.
The seller has the right to charge all costs incurred and lost trade profit for the transaction. Returns of ordered and / or purchased samples are not accepted, and will not be credited.
Requested cancellations that can be attributed to force majeure or events within our delivery regulations that are beyond MEC Profil AB ‘s control are not accepted.
RIGHT OF RETURN
All products that are manufactured specifically for the customer mean that the order is always binding and returns are not accepted.
Regarding other products, returns can only take place according to agreement with MEC Profil AB, as well as its suppliers.
No goods may be returned without a return notice.
A return shall in no way imply any recognition/approval.
If the return of goods is approved, these must be packed in original packaging and not used or processed (for example, printed, embroidered, engraved, or another marking method).
20% of the invoiced amount for the return is deducted (at least SEK 500 excluding VAT) per order, as well as a possible shipping cost to the place of storage.
All returns sent to an address other than that specified by MEC Profil AB will be rejected.
No returns are accepted on deliveries sent directly from suppliers to customer or customer’s customer.
Returns later than 1 month after the invoice date are not credited.
Returns of ordered and/or purchased samples are not accepted, and will not be credited.
For hygienic and sanitary reasons, underwear, face masks and other health-related protective products cannot be returned or exchanged. In any event, items not returned in their original packaging or returned in damaged original packaging will not be exchanged.
PRODUCTION SAMPLE
If a sample for approval is required of the product before mass production is started, this is ordered separately by the customer.
Delivery of samples takes place during normal routines. If fast delivery of samples is desired, this is done against charging extra shipping fee, corresponding to SEK 500 per order.
PRODUKTION BASIS
Alla orders require reproducible / usable originals. In case of doubt, contact our sales staff. Studio work is charged with SEK 850:00 per started hour, however, at least SEK 100:00 per order. The Buyer is fully responsible for submitting the originals are correct. In the case of distortion of originals sent digitally, the seller disclaims responsibility for the same. It is the Buyer’s responsibility to check that the transmitted colours can be produced in the ordered technology with different colour maps as a reference. Pantone C & U for printing, Pantone Textile Color, CMYK för digital print.
CLAIMS / COMPLAINTS
The buyer may not claim that the product is defective if he/she does not notify the seller of the defect within the specified deadlines (complaint).
Defects which have been or should have been noticed when the goods were received by the buyer or by the recipient designated by him/her must be reported within one week thereafter and, where applicable, before the goods are processed.
Otherwise, defects must be reported within a reasonable time after the defect has been noticed or should have been noticed or otherwise come to the buyer’s notice through a complaint from another.
If the product is not complained within one month of receipt of the products, the right to invoke the defect is lost. The product shall in no case be considered improper at the color deviation if the deviation depends exclusively on commissioned application technology or product’s materials.
SELLER’S RESPONSIBILITY
The seller’s liability for proven damage is limited to a maximum of 10% of MEC Profil AB’s sales price.
However, the seller is not liable for the damage suffered by the buyer through the seller’s delay if the delay is due to an obstacle beyond the seller’s control, which the seller could not reasonably have anticipated at the time of purchase and whose consequences he could not reasonably have avoided or overcome.
The seller is also not liable for the damage suffered by the buyer as a result of the goods being defective if there has been such an obstacle as referred to in the first paragraph for delivering defect-free goods.
For damage through indirect loss or for loss that the buyer inflicts through damage in another way than the goods sold, the seller is liable for compensation only if the damage is shown to be due to gross negligence on the part of the seller.
BUYER’S RESPONSIBILITY
Defective goods or goods which for some reason cannot be finally approved by the Buyer or its customer, shall in the event of new production be returned at the Buyer’s risk and expense to the Seller.
In the fact that the goods have been taken into use and cannot be returned, the Seller has no further obligation which includes costs for manufacturing and logistics when producing new items.
Delayed delivery or damaged goods due to the transport company must be reported by the buyer directly to the transport company. Only when a valid case number is available from the carrier regarding the complaint, can MEC Profil AB in turn assist in the case.
GUARANTEES
Guarantees on consumables are not normally provided; however, errors that can be attributed to manufacturing defects are rectified.
CHANGES IN PRICES
MEC Profil AB reserves the right to change / update prices and to make necessary adjustments due to fluctuations in exchange rates, changes in commodity prices, or transportation costs, when necessary.
New price lists and updates of the same, replace all previous price lists, conditions, and any quotes based on them.
MEC Profil AB also reserves the right to print errors in price lists and quotes.
